These are the standard client terms and conditions of ShowMaker Enterprise (trading as Showmaker), with its principal business address at 2, 2nd Main, 8th Anekalapaya, Bengaluru – 560030, Karnataka, India.
Section 1Event booking & confirmation
All bookings are provisional until:
- These terms are accepted by the client
- The applicable advance payment is received
- Showmaker confirms the booking in writing
Until confirmation is issued, dates, venues, artists, hotels, vendors, facilitators, production equipment, transportation, and related resources may be released without liability.
Showmaker is not obligated to hold provisional bookings beyond the option date stated in the proposal unless otherwise agreed in writing.
For the purpose of these terms, “working days” means Monday to Friday excluding public holidays in India.
Availability of resources
Venue, hotel, artist, transportation, production, and third-party vendor availability cannot be guaranteed until the applicable advance payment has been received and booking confirmation has been issued by Showmaker.
Showmaker shall not be responsible for any changes in availability prior to booking confirmation.
Section 2Price & payment
All pricing shall be as stated in the proposal, quotation, agreement, or commercial document issued by Showmaker.
Prices may be revised where:
- The scope changes
- The client requests modifications
- Vendor pricing changes
- Hotel rates increase
- Government regulations change
- Taxes are revised
- Errors or omissions are identified
All applicable taxes, including GST, shall be charged as per prevailing regulations unless specifically stated otherwise.
Payment schedule
Unless otherwise specified in the proposal:
- 1Advance paymentThe client shall pay 50% of the total project value upon confirmation of the booking.
- 2Balance paymentThe remaining balance shall be payable as specified in the proposal or agreed commercial schedule.
- 3Additional expensesCosts arising from client-requested changes, additional requirements, extended event hours, or scope revisions may be invoiced separately.
- 4Late bookingsFor bookings made within 20 working days of the event date, Showmaker reserves the right to request up to 100% advance payment before commencement of work.
- 5Invoice disputesAny dispute regarding an invoice must be communicated in writing within 10 working days of receipt. If no dispute is raised within this period, the invoice shall be deemed accepted.
- 6Client approval delaysWhere procurement processes, legal reviews, purchase orders, management approvals, or delayed payments impact project timelines, Showmaker reserves the right to modify project schedules, adjust delivery timelines, release vendor holds, or revise commercials where required. Additional costs resulting from such delays may be charged separately.
Payment method
- Payments shall be made via bank transfer using the account details provided by Showmaker.
- The client is requested to notify Showmaker once payment has been initiated.
Section 3Cancellation & postponement
This section applies where the client:
- Cancels the entire project
- Cancels part of the contracted scope
- Reduces the scope significantly
- Postpones the event
Cancellation charges apply to the total contracted value including venue costs, hotel bookings, artists, transportation, equipment, production, accommodation, catering, and related services.

Cancellation requests must be submitted in writing.
Third-party commitments
Any non-refundable costs already incurred towards:
- Hotels
- Venues
- Artists
- Transportation
- Production partners
- Third-party vendors
shall be payable by the client regardless of the cancellation timeline.
Postponements
A postponed event shall be treated as a cancellation unless both parties agree in writing to revised dates and commercial terms.
Section 4Liability
Certain experiences and activities involve physical participation and inherent risks.
To the maximum extent permitted by applicable law, Showmaker, its employees, contractors, facilitators, agents, and partners shall not be liable for:
- Indirect losses
- Consequential losses
- Loss of profit
- Loss of business opportunity
- Loss of goodwill
- Loss of data
Showmaker's maximum liability shall not exceed the fees paid by the client for the specific event giving rise to the claim.
Nothing in these terms excludes liability for:
- Death or personal injury caused by negligence
- Fraud
- Wilful misconduct
- Any liability that cannot legally be excluded
Section 5Intellectual property
All proposals, presentations, concepts, experience formats, activity designs, simulations, agendas, frameworks, methodologies, creative concepts, AI-powered engagement formats, training structures, and supporting materials shared by Showmaker remain the intellectual property of Showmaker unless otherwise agreed in writing.
Clients may use such materials solely for evaluating Showmaker's services.
Clients shall not:
- Reproduce
- Distribute
- Replicate
- Adapt
- Commercially exploit
- Share with competing vendors
without prior written consent from Showmaker.
Any proprietary methodologies, frameworks, AI-powered experiences, team building concepts, simulations, and engagement formats developed by Showmaker remain the exclusive property of Showmaker.
Section 6Force majeure
Showmaker shall not be liable for any delay, disruption, or failure to perform obligations due to events beyond its reasonable control, including but not limited to:
- Natural disasters
- Floods
- Earthquakes
- Fire
- Government restrictions
- Epidemics or pandemics
- Civil unrest
- Terrorism
- Labour disputes
- Utility failures
- Transport disruptions
- Critical supplier failures
Affected obligations shall be suspended during the relevant period.
Both parties may discuss rescheduling, revised timelines, or alternative arrangements where appropriate.
Section 7Severability
If any provision of these terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
Section 8Governing law & jurisdiction
These terms shall be governed by and interpreted in accordance with the laws of India.
Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
Section 9Entire agreement
These terms, together with the applicable proposal, quotation, statement of work, order form, and any written amendments agreed by both parties, constitute the entire agreement between the client and Showmaker.
They supersede all prior discussions, proposals, communications, and understandings relating to the project.
No amendment shall be valid unless agreed in writing by both parties.
